The requirement to file a ‘Confirmation Statement’ by 27th April has forced our hand.
Our Situation – A Law Change
In order to prevent people registering and becoming a director of a company using false identities, a law has been established that the minimum qualification for a company director is to have a One Gov ID verification code.
The STU articles require a minimum of three directors to remain registered as a co-operative company. If STU goes below four directors, thus each having more that 25% control, the co-operative essence of the organisation and the director’s status becomes compromised and each director will be becoming “a person of significant control (PSC)”. This status is accompanied by much paperwork and information requirements about their holdings etc.
Phil Tyler and Nigel Clark decided that if this happened, we would wind the organisation up.
Why is the Confirmation Statement an Issue.
The confirmation Statement requires that each director must have a One Gov ID verification code.
The Confirmation Statement is the annual statement that a company must file at Companies House confirming that the Company is continuing to operate. The company will cease without it. Our confirmation statement date is 13th April 2026. The statement must be filed by 27th April 2026
Who Has A One Gov Verification Code.
At 30th March 2026 STU had four directors, Andrea Allam, Tim Roberts, Nigel Clark and Phil Tyler.
At time of writing this document, of the directors, only Philip Tyler has a One Gov ID verification code.
Director Andrea Allam has since resigned as a director. Her application for the required One Gov ID has been rejected. Andrea intends to obtain a passport so that she can become acceptable for One Gov This will take several weeks.
Director Tim Roberts has an issue with his ID, and it does not look like he will have the required ID in time.
Director Nigel Clark could probably get a One Gov ID but does not feel it is worth it under the circumstances.
About The Special General Meeting
At a Special General Meeting we must have at least 10 members in attendance to be quorate. This can be in person or by “electronic means”. The resolution requires a three quarters majority of the members present to pass.
If we do not have 10 attendee members withing 30 minutes of the given time for the meeting, the meeting will be adjourned for two weeks and then the meeting does not need to be quorate.
If the resolution fails
If there are four or more members willing to take over the running of STU a transition and training on the many files, Action network, stripe, banking and accounts etc can be agreed.
If we do not get ten members present in person or by electronic means, we have to reconvene the meeting in two weeks and at that time the meeting need not be quorate (have at least ten members present).
If the resolution passes
There will be another meeting in two weeks to confirm the decision.
Immediately after the Special General Meeting there will be a Co-ordinating group (Board) meeting. If at least four people present or who have applied in writing and have a One Gov ID verification code wish to take over the organisation, they can be appointed as directors.
If anyone wants to take the organisation over after deregistration a discussion about this will also be welcomed.
Closing Personal Note from Phil
If members present wish to become Directors, we need a group of four or more to take over control of the organisation. the minimum qualification for a company director is to have a One Gov ID verification code. We do not have the campaigning capacity and member support to make STU operate as an active and effective tenants’ union. You will need considerable energy and drive to make this work. Other people taking it over would be the best outcome for us, We are both well into our seventies and do not have the energy to reverse the reducing member numbers and support.

Our conference brings together tenants, residents, and housing campaign groups to discuss the creation of a national tenants and residents union.
